This Affiliate Service Agreement (the "Agreement") is made by and between kids-treasure-hunt.com and its constituents ("kids-treasure-hunt.com", "Merchant" or "Owner"), and you, as an Affiliate user of the kids-treasure-hunt.com affiliate service ("You", "Your", "Affiliate" or "Recipient").

To be an authorized Affiliate of kids-treasure-hunt.com, you agree to abide by the terms and conditions contained in this Agreement. Please read this Agreement carefully before registering and using the kids-treasure-hunt.com service as an Affiliate. In consideration to the terms and covenants of this Agreement and other valuable consideration, the parties agree as follows.

RECITALS
a. The name of the affiliate program is kids-treasure-hunt.com Affiliate Program (The "Affiliate Program")
b. The Recipient represents and warrants to the Owner that the Recipient has read and understood the Privacy Policies and agrees to the terms set forth therein.

DEFINITIONS
"Affiliate" means a site that is rewarded for a legitimate sale, lead, click, or other measurable action by a Visitor, and uses the kids-treasure-hunt.com and/or PayPal services to facilitate applications, tracking, reporting, and receipt of commission payment.

"Merchant" in this case is kids-treasure-hunt.com, and refers to a web site that pays a reward for a legitimate sale, lead, click, or other measurable action by a Visitor as defined in this affiliate agreement, and uses the kids-treasure-hunt.com and/or PayPal services to facilitate sign-ups, tracking, reporting, and issuance of commission payment.

"Visitor" means any person or user that clicks on a Link to a Merchant’s Web site placed on an Affiliate's Web site.

"Sales Commission" means the Payout the Merchant agrees to pay for Visitors referred to the Merchant's Web site; that results in a sale of a product or service. 
"Payout" is currently 40% and means the amount of sales commission established and agreed upon by kids-treasure-hunt.com and the Affiliate.  The Payout may be expressed as a set amount or as a percent of sales.

"Link" means a hyperlink placed on an Affiliate's site that, when clicked on, takes a Visitor within their browser to the kids-treasure-hunt.com's web site. The Link may be in the form of text, a product image, a button, a banner or any other format acceptable to kids-treasure-hunt.com, and defined only through kids-treasure-hunt.com's program on their web site.
"VOID" means a reversal of a Payout previously earned for a sale that is later rescinded or corrected by the Merchant.  Merchant may VOID transactions that are fraudulent, or in the case of returned merchandise, duplicate transactions, or other valid reasons.

"Your Account" means a separate, specific account,  that is credited with Your Commissions and other earnings.

1- AFFILIATE PROGRAM REGISTRATION
To register for the Affiliate Program, the Recipient must complete and submit to the Owner and Affiliate Program Application form. The Affiliate Program Application form is included on the Owner’s website and can be completed and submitted through its website.

2- APPROVAL OR REJECTION OF AFFILIATE PROGRAM APPLICATION
The Owner reserves the right to approve or reject and ANY Affiliate Program Application in its sole and absolute discretion. The Recipient will have no legal recourse against the Owner for the rejection of the Recipient Affiliate Program Application.

3- REASON OF REJECTION
Without limiting the right to reject any application for any reason whatsoever in the Owner’s absolute discretion, the Recipient’s application will be rejected if it is incomplete, if the Recipient’s website contains images or content that is not acceptable to Owner or is inconsistent with the image that the owner wishes to create is association with its website, or if the Recipient’s website any illegal, immoral, repulsive, defamatory, derogatory, harassing, harmful, threatening, obscene, vulgar, pornographic, racial or ethnically objectionable material, depicts sexual situations, promotes discrimination on the basis of race, sex, sexual preferences, national origin, ethnicity, nationality, disability, religious preference or if the Recipient’s site contains any material that appears to Owner to violate any patent, trademark, copyright, trade secret, confidential information or other property rights of any other party.

4- TERMINATION AFTER ACCEPTANCE      
Even after the owner has accepted the Recipient as an Affiliate Program member, the Owner reserves the absolute right to rescind or terminate to Recipient’s affiliate status for any reason in its sole and absolute discretion, including but not limited to the reasons set forth above.

5- FINANCIAL RESPONSIBILITIES
The Recipient will be fully responsible for all costs and expenses of maintaining and marketing the Affiliate Program, including but not limited to all costs associated with the creations, hosting, modification and improvements to the Recipient’s website, cost of search engine placement and internet marketing, cost of inserting Owner’s links into the website, offline marketing costs, postage costs and all other costs and expenses and the Recipient hereby holds the Owner harmless from or against the same.

6- NO REPRESENTATION REGRADING INCOME POTENTIAL
The Owner makes no representations and warranties regarding potential income that may result from the participation in this Affiliate Program and specially disclaims any and all warranties relative to earning potential from the Recipient Affiliate status.

7- RESPONSIBILITY TO LINK TO THE OWNER’S SITE
a. As a Program Affiliate, the Recipient will have the obligations to place links on its site directing users to the Owner’s site. The Owner will make available to the Recipient button links, text links and banner advertisements to be placed on the Recipient’s website which will direct users to Owner’s website via hypertext links. As a Program Affiliate, the Recipient is given a limited term licence, during the term of the Recipient active participation as a Program Affiliate, to utilize the owner’s logo images provided to the Recipient on the website that the Recipient designates in the Recipient Affiliate Program application
b. The Owner makes available to its Affiliates, links, banners and other information advertising its site to be used subject to the terms of this agreement. These materials will contain its trademarks and other proprietary property. The Recipient may display these materials on the Recipient’s website for the purpose of promoting the Owner’s site and participating in this Affiliate Program. If the Recipient discontinues the Affiliate Program or if the recipient’s participation is terminated for any reason, the Recipient will immediately seize using these materials and will delete all such materials from its website and from its computer. 
c. To permit accurate tracking, reporting, and commission accrual, Owner will provide Recipient with special "tagged" link formats ("Special Links"). Recipient must ensure that each link between Recipient’s website and Owner’s Website is a special link. Recipient is free to use its own graphical work aligned to aesthetics of Recipient’s website with Special Links, provided by Owner. Recipient will only earn commission on sales that originate through Special Links. Owner will not be held responsible for any failure by Recipient to use Special Links.
d. Recipient will only be permitted to use Special Links on the website that the Recipient designate in the Affiliate Program Application.
e. The Recipient consent to the Owner including the information relative to traffic from the Recipient’s website in the Owner reports. This information may be provided to outside parties.
f. Recipient may not place links to the Owner’s website in newsgroups, message boards, unsolicited emails and other types of SPAM, banner networks, counters, chat rooms, guest books, IRC channels or through similar internet resources.

8- ANTI-SPAN POCILY
The Owner strictly forbids the use of unsolicited commercial emails (UCE) or SPAM campaigns. The Owner maintains a zero tolerance policy against all and any type of SPAM. Any Recipient found to be involved in SPAM/USE campaigns contravening UCE legislation will be met as follows.
a. The Recipient’s account will be closed immediately, without the burden of notice and compensation.
b. The Recipient will be help accountable for and monetary damages suffered by the Owner. This will include but not limit to punitive damages related to lost clients and brand deterioration.

9- CUSTOMER SERVICE
a. The Owner will be responsible for handling all customer inquiries, product orders, customer billing and collection. The Owner’s only responsibility to the Recipient in this regard is to track customer orders that occur through Special Links provided to Recipient and make reports to the Recipient of the commissions due to the Recipient as a result thereof. All such reports shall be unaudited.
b. The Owner is not responsible for the failure to assign any sale or commission to the Recipient if the same result from the improper formatting of the link from the Recipient website and any other legal campaign run by Recipient that use the Special Links provided by the Owner. The Recipient will report any problem that the Recipient may have with the Special Links to the Owner immediately.

10- COMPENSATION
a. Owner agrees to pay a commission of 40% of all legitimate sales of Owner’s products referred to the Owner’s web site from the Recipient’s web site or authorized Affiliate content using code provided by Owner.  In the event of fraudulent transactions, incorrectly processed transactions, or failure to pay for a transaction, transactions may be reversed or voided and commissions that may have appeared to have been earned may be subtracted.
b. Recipient will be paid affiliate commissions for sales via PayPal during the month following the month valid qualifying sales were processed given the minimum commission amount accumulated in Recipient’s Affiliate account with Owner.
c. Recipient must have or obtain a PayPal account and a corresponding e-mail address which allows Owner to easily and quickly pay its affiliates using their e-mail address.

11- TRADEMARKS AND COPYRIGHTS
a. Recipient is granted a non-exclusive, limited, revocable right to use Owner-provided links, trademarks, graphics, and banners. All images, technology and content provided for Recipient use is and shall remain the sole property of the Owner, and no part thereof shall be deemed assigned or licensed to Recipient except as explicitly provided for herein. All intellectual property rights, including trademarks, copyrights, patent rights or applications, trade-names and service marks related to the foregoing shall remain the Owner’s sole property, including rights in and to any derivatives thereof. Recipient may not modify the trademarks, banners, the content or any of the images provided to Recipient in any way.
b. Owner may immediately terminate Recipient license to use such banners or other media if the Owner reasonably believes that such use dilutes, tarnishes or blurs the value of their reputation or marks.  Recipient acknowledge that Recipient use of the media will not create in Recipient, nor will Recipient represent that Recipient have, any right, title or interest in or to the marks other than the license granted by the Owner above. Recipient will not challenge the validity of or attempt to register any of the marks or Recipient interest therein as a licensee, nor will Recipient adopt any derivative or confusingly similar names, brands, or marks or create any combination marks with the marks. Recipient acknowledge the Owner’s ownership and exclusive right to use the graphics, banners, marks, copyrights, and other media, and agree that all goodwill arising as a result of the use of such shall inure to the benefit of the Recipient.

12- PRODUCT AVAILABILITY
The Owner can not guarantee product availability or the term of any piece or special promotion or offer.

13- RESPONSIBILITIES
The Recipient is responsible for all matters pertaining to the Recipient’s own website including its development, maintenance, operations and placing links on the Recipient’s site in compliance with the terms of Affiliate program. The Recipient is completely responsible for all items that appear on its site and for assuring that such items do not infringe upon or violate the rights of any other party. The Owner is not responsible for any matter pertaining to the recipient’s site or the content thereof and the Recipient holds the Owner harmless and indemnifies the Owner from any and all claims, suits, threats, demands, liabilities, actions, causes of action related in anyway to the Recipient’s website and business. Such indemnity includes the Owner costs and attorney fees in defending any such matter. The Recipient represents and warrants to the owner that its site does not and will not contain any materials that are illegal and that the Recipient’s site is not operated for an illegal purpose or in an illegal manner.
 
14- REPRESENTATION AND WARRANTIES
The Recipient hereby represents and warrants to the owner to have the complete power and authority to enter into this agreement and that this agreement constitutes a valid and legally enforceable agreement.

15- TERM
This Agreement will be in force from the moment of the Owner’s acceptance of the Recipient as a participating member of the Affiliate Program, and can be terminated by either party at any time, provided the termination is declared by email. Once the agreement has been terminated, the Recipient agrees to immediately cease the use of and remove all kids-treasure-hunt.com related materials. The Recipient will only be eligible for commissions from bookings made during the term of the agreement; payment will be made once all eligible bookings are completed and the Recipient has complied by the terms of the agreement.

16- MODIFICATION
Owner may modify any of the terms and conditions contained in this Agreement at any time at Owner’s sole discretion by posting a change notice or new version of the Agreement on Owner’s website. Terms may be changed or updated at any time, but Recipient shall be able to find the most recent version on Owner’s website or through email notification from the Owner. Modifications may include, but are not limited to, changes in the scope of available referral fee payment(s) or the payment program in general, payment schedules, payment procedures, and Affiliate Program rules. If any modification is unacceptable to Recipient, Recipient’s only recourse is to terminate this agreement. Recipient’s continued participation in the Affiliate Program following Owner’s posting of a change notice or new agreement on Owner’s site shall constitute binding acceptance of the change.

17- LIABILITIES
a. THE OWNER HEREBY DISCLAIMS ANY AND ALL WARRANTIES AND LIABILITIES RELATED TO ANY DOWNTIME OR FAILURE FOR USERS TO BE ABLE TO ACCESS ITS WEBSITE OR TO ACCESS ITS WEBSITE USING THE LINK FROM RECIPIENT’S WEBSITE. FURTHERMORE, THE OWNER SHALL NOT BE RESPONSIBLE FOR AND HEREBY DISCLAIMS ANY AND ALL WARRANTIES RELATED TO ITS WEBSITE, THE AFFILIATE PROGRAM, THE RECIPEINT’S PARTICIPATION IN THE AFFILIATE PROGRAM, THE RECIPIENT ABILITY TO MAKE ANY COMMISSIONS OR OTHERWISE PROFIT THROUGH PARTICIPATION IN THIS AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OR FITNESS FOR ANY PARTICLUAR PURPUSE OR MERCHANTABILITY, NON-INFRINGEMENT, OR ANY CLAIM MADE BASED UPON THE OWNERS COURSE OF DEALING OR USES OF TRADE. THE OWNER DOES NOT REPRESENTS OR WARRANTS THAT ITS WEBSITE OR ANY APPLICATION, INCLUDING BUT NOT LIMITED TO ITS LINK TRACKING FEATURES WILL BE ERROR FREE OR THEY WILL FUNCTION WITHOUT INTERRUPTION. 
b. THE OWNER SHALL NOT BE RESPONSIBLE FOR ANY DIRECT OR INDIRECT DAMANGES OR LIABILITIES OF ANY NATURE INCLUDING BUT NOT LIMITED TO INCIDENTAL, CONSEQUENTIOAL, INDIRECT, OR SPECIAL DAMAGES, LOSS PROFITS, LOSS BUSINESS OPPORTUNITY OR ANY OTHER DAMAGES; REGARDLESS OF WHETHER THE OWNER WAS OR HAVE BEEN ADVISED OF THE POSSIBILITY OF THE SAME AND TOOK NO ACTION TO PREVENT THE SAME.
c. WITHOUT LIMITING THE FOREGOING, THE OWNER TOTAL LIABILITY FOR ANY DAMAGES ARISING HEREUNDER SHALL NEVER EXCEED THE TOTAL COMMISSIONS PAID AND PAYABLE BY THE OWNER PURSUANT TO THE TERMS HEREOF

18- CONFIDENTIALITY
In the event that any information is disclosed to the Recipient, through the Recipient participation in the Affiliate program related in any way to the Owner business which the Owner deem to be confidential and proprietary, the recipient agrees to hold such information in the strictest of confidence and not to disclose such information to any other party or to use any such information for the recipient’s own purposes.

19- INDEMNIFICATION
The Recipient hereby indemnifies and holds the Owners and all of the Owners stockholders, officers, directors, employees, contractors, affiliates, agents, successors and assigns harmless from and against any and all claims, liabilities, damages, actions, causes of actions, suits, threats, demands, settlement including all costs and attorney fees related thereto, that the Owner may incur and which are based in whole or in part upon the Recipient’s participation in the Affiliate program and any claims that any of the Recipient’s trademark and other proprietary material infringe upon the right of any other party, the Recipient breach of any term, covenants, condition, representation or warranty contained in this agreement or any policies of participation in the Affiliate Program, or any claim related directly or indirectly to the Recipient use, operation or the content of the recipient’s website .

20- GOVERNING LAW
This agreement shall be interpreted under the laws of the government of India. Any and all legal actions relative hereto shall be in the courts of New Delhi, India.

21- RELATIONSHIP OF THE PARTIES
The parties hereto are independent contractors or nothing contained herein shall be interpreted as creating any relationship other than that of independent contracting parties. The parties shall not be construed as being partners, joint ventures, share holders, employer/employee, agent/servant. The Recipient has not power or authority to bind the Owner to any obligation, agreement, debt or liability. The Recipient shall not hold itself out as an agent or representative of the Owner.

Nothing in this agreement shall prevent the Company from entering in agreement with other parties on different terms from this agreement, operating websites similar or in direct competition to the Affiliate’s website.

Terms & Conditions for participation in the Bigpoint Affiliate Program (hereafter referred to as “Terms & Conditions“)

Status: June 1, 2010

1.	Summary

Bigpoint GmbH (hereafter referred to as “Bigpoint”) operates an Internet platform at mediapartner.bigpoint.net (hereafter referred to as “platform“) which offers registered members (hereafter refered to as “publishers” the possibility to participate in the Bigpoint Affiliate Program.

The object of the Bigpoint Affiliate Program is to encourage media service providers to support Bigpoint through the sale of goods and services on a results basis. Application and registration as well as use of the platform are basically free for all publishers.

2. Scope of application

2.1. The publishers’ participation in Bigpoint Affiliate Programs is regulated by these Terms & Conditions. They also regulate the legal relationship between the publishers and Bigpoint.

2.2. Any terms and conditions of the publishers that contradict these Terms & Conditions are invalid unless their validity is clearly agreed upon by Bigpoint and the publisher. Contradictory assertions made by the publisher based on their terms and conditions are hereby expressly forbidden.

2.3. Subsidiary agreements, modifications or supplementation of these Terms & Conditions and of the contract between the publisher and Bigpoint must be made in writing in order to be legally binding.

2.4. Bigpoint employees, representatives or contracted agents are not authorized to make verbal agreements or promises with or to the publisher.

3.	Definitions

The following defintions apply to these Terms & Conditions and to the Bigpoint Affiliate Program as a whole:

3.1.	User: Every natural person who knowingly and deliberately visits the publisher’s or Bigpoint’s website without being coerced or deceived and without receiving compensation from the publisher or any third parties.

3.2.	Click: A click is considered valid if the user knowingly, deliberately and voluntarily clicks on a Bigpoint Affiliate Program hyperlink on the publisher’s website, thereby being redirected to the linked Bigpoint website. Repeat clicks, or multiple clicks made by the same user in close succession and within a short period of time on different hyperlinks, are invalid. Clicks generated as a result of coercion or because of a bonus or incentive are invalid unless previously sanctioned in writing by Bigpoint. If no written agreement exists, clicks generated as a result of such actions shall not be considered valid. Valid clicks are recorded and verified by the Bigpoint Tracking System and their validity judged at Bigpoint’s discretion.

3.3.	Account: Legitimate access to the platform granted to a publisher once they have registered and correctly provided all necessary information including their main domain name and their website’s content category.

3.4.	Lead: A lead is valid when the user makes a valid click and then willingly, deliberately and knowingly performs a certain pre-defined action (hereafter referred to as a “qualified action“). Valid leads are detected and defined as valid in the same way as valid clicks; the performance of the qualified action is recorded and verified by Bigpoint and judged valid at their discretion.

3.5.	Sale: A sale is valid when the user makes a valid click (see 3.2) and thereafter willingly, deliberately and knowingly performs a certain pre-defined action (hereafter referred to as a “qualified action“). Valid sales are determined in the same way as valid leads; user requests for cash items or services are recorded and verified by Bigpoint’s system and judged valid at their discretion.

3.6.	Hyperlink: Is a link provided by the platform for the publisher’s use. This link must be incorporated in its original form into the publisher’s website and clearly labelled as a link to the Bigpoint website.

3.7.	 Pay-Per-Lead: The publisher is entited to payment for leads generated as a result of visitors to the publisher’s website being redirected to the Bigpoint website via a hyperlink on the publisher’s website. Payment consists of a fixed fee per valid lead.

3.8.	Pay-Per-Sale: The publisher is entitled to payment for goods or service sales generated as a result of visitors to the publisher’s website being redirected to the Bigpoint website via a hyperlink on the publisher’s website.

3.9.	Publisher website: The website is the publisher’s Internet presence in all available languages. The website is located at the main domain name provided upon account registration and includes the content approved by Bigpoint. Also included in the definition of the website are any other domain names or subsites, should they have been specified as belonging to this main domain in the account information and have identical content.

3.10.	Bigpoint website: Bigpoint’s Internet presence, which can be found at the registered URL and on which the online goods and/or services are advertised and sold and to which the hyperlink to be used by the publisher in accordance with the Terms & Conditions of the Bigpoint Affiliate Program leads.

4.	Bigpoint Affiliate Program registration

4.1.	With their participation and the registration of an account, the publisher recognizes these Terms & Conditions.

4.2.	It is the publisher’s responsibility to ensure that the information they provide to Bigpoint is correct and comprehensive. The publisher must make sure that their registration information and the information in their account is always up-to-date. In the case of multiple accounts, the publisher may not provide differing or contradictory personal information.

4.3.	Websites operated by the publisher in languages other than those agreed upon are excluded from participation. Registrations generated from such websites are not considered valid under the terms of the Bigpoint Affiliate Program; Bigpoint is not obligated to inform partners of such registrations.

5.	Contract conclusion

5.1.	An individual contract regulating the providing of services to support the commision-based online sale of goods and services as specified in these Terms & Conditions and the terms of the Bigpoint Affiliate Program is concluded between Bigpoint and a publisher.

5.2.	In posting their website’s candidature to Bigpoint, publishers express their intent to participate in the Bigpoint Affiliate Program. Publisher participation cannot include any conditions or reservations which differ or deviate from those of the Bigpoint Affiliate Program. The publisher shall be bound by their offer of participation for a period of four weeks after their declaration of intent, in the form of an application, was received by Bigpoint. Bigpoint may accept the offer at any time during this period; if Bigpoint does not accept the application during this period, this constitutes implicit rejection. No claims can be brought against Bigpoint by the publishers in the event of this occurrence.

5.3.	Bigpoint reserves the right to accept or reject any applying publisher. In the event of a rejection, publishers are not entitled to ask for the cause or justification. In the event of their acceptance, publishers do not owe Bigpoint any form of participation or effort.

5.4.	In the event of acceptance, publishers are entitled but not obligated to take steps to promote the Bipgoint Affiliate Program within the scope of these Terms & Conditions. Bigpoint has the right to expect the publisher to fulffill their contractual requirements. Should the publisher be required to take certain actions and fulfil these requirements, they must be fulfilled within the scope of the contract, and are to be compensated accordingly.

5.5.	After their registration, an interest-free account shall be opened for the publisher. Any and all payments due to the publisher will be deposited into this account.

5.6.	Bigpoint is entitled to further develop the platform and to adjust the platform to technical innovations as appropriate.

5.7.	Bigpoint is also entitled to delegate the performance of certain or all contractual services to third parties or contracted agencies.

6.	Publisher’s obligations to Bigpoint

6.1.	Publishers must configure their website so that only valid leads and sales are generated on the Bigpoint website, and so that completed transactions can be successfully recorded by the Bigpoint website. This also applies to all search engine entries, directories and link lists belonging to third parties.

6.2.	Bigpoint shall provide the publisher with the hyperlinks and URLs required to participate in an Affiliate Program.

6.3.	The publisher is not allowed to modify the HTML code or banners provided by Bigpoint.

6.4.	The advertising material provided may only be used on the publisher’s website.

6.5.	The advertising material provided may only be used within the context of participation in the Bigpoint Affiliate Program.

6.6.	Forwarding any information or advertising material to third parties is not permitted and constitutes a violation of these Terms & Conditions.

6.7.	The use of names and copyrighted brands and trademarks, as well as the use of a logo or company belonging to Bigpoint, is only permitted with Bigpoint’s express permission.

6.8.	The publisher will only use names and brands belonging to Bigpoint or words which are similar or related to Bigpoint names and brands (please see the list in Appendix 1) as keywords for the purposes of search-engine management or optimization with Bigoint’s prior consent.

6.9.	The publisher agrees to design their website in such a way as to avoid infringing on the intellectual property rights and copyrights of third parties and any and all applicable laws, especially those relating to copyright.

6.10.	Should the publisher send e-mails containing advertising for Bigpoint or Bigpoint services, they must comply with the legal standards in place (especially those prohibiting unfair business practices e.g. § 7 Abs. 1-3 UWG) as well as recent court decisions (e.g. the ruling of the BGH on 3.11.2004, Az. I ZR 81/01).

6.11.	The publisher is responsible for ensuring the accuracy and integrity of their registration information. Should changes to the publisher’s personal data occur, the publisher must inform Bigpoint of these changes in writing without delay. By registering, the publisher accepts these Terms & Conditions.

6.12.	The publisher is obligated to include their contact details and legal information in their business operations in accordance with German law (§ 6 TDG).

6.13.	 The publisher agrees to ensure that their website comply with legal standards regarding data privacy and customer protection. Violent, sexually explicit or pornographic content as well as discriminatory statements or images, especially those concerning gender, race, heritage, nationality, handicaps, religion, sexual orientation, age, etc. are especially proscribed, both on the publisher’s website and in the context of the Bigpoint Affiliate Program.

6.14.	The website must not be designed in such a way as to compromise the reputation or perceived value of Bipgoint goods or services, of the Bigpoint brand or of Bigpoint’s business operations.

6.15.	In particular, Bigpoint has the right the demand that the hyperlink be moved when its location is judged likely to compromise the reputation or perceived value of Bigpoint goods or services, of the Bigpoint brand or of Bigpoint’s business operations.

6.16.	The aforementioned regulations especially apply if the publisher website includes links leading to the Internet presences of third parties.

6.17.	Bigpoint shall provide the necessary hyperlinks and URLs for each Co-Branded landing page. The publisher is only permitted to modify the code or banners provided with Bigpoint’s express permission, and may only use them on their own website. Forwarding them to third parties is forbidden. The publisher may insert the hyperlink to the Bigpoint site where they want and as many times as they choose.

6.18.	Bigpoint has the right to use the name, brands and logos of the publisher as a reference for the purposes of customer and user acquisition.

6.19.	The publisher is the only party responsible for the marketing, sale and delivery of products which are sold with Bigpoint’s assistance. This includes all support and documentation.

6.20.	Bigpoint must be informed of any defects or interruptions in writing either by fax or via e-mail.

7.	Payment process

7.1.	There is a right to payment when a valid lead or a valid sale is successfully transmitted to Bigpoint in accordance with these Terms & Conditions.

7.2.	Bigpoint guarantees the publisher‘s participation in pay-per-lead affiliate programs, pay-per-sale affiliate programs and/or a combination of the aforementioned program types.

7.3.	The publisher is entitled to payment only when valid clicks, leads or sales were generated in their account in accordance with these Terms & Conditions.</td>
